POSITION PURPOSE AND OBJECTIVES:
The Legal Operations Manager is responsible for the identification, creation, maintenance, and enhancement of the Legal Department's internal processes, procedures, systems, and technology tools, through engagement with Legal and other department leaders as well as external industry groups such as CLOC. This position is also responsible for creating, tracking, measuring, analyzing, reporting and (where appropriate) providing recommendations on various financial and non-financial Legal Department metrics. This position will also provide paraprofessional legal support to the Bank's Chief Risk Officer, General Counsel, and other counsel through preparing and reviewing correspondence, documents and reports including insurance applications and claims management, minutes, contracts, policies, and others, as assigned. Additionally, this position is responsible for the management of records storage functions of all legal documentation.

MINIMUM QUALIFICATIONS:
* Minimum of 5 years legal operations or paralegal experience required.
* Strong functional legal knowledge in a variety of areas including contracts and corporate law required.
* Prior experience with processing garnishments, levies, and/or experience with subpoena processing as well as working with various government agencies, attorneys and courts preferred.
* Willing to become a Kentucky Notary (KY residency not required)
* Previous supervisor experience required.
* Excellent analytical and computer skills, including Microsoft Access, Word, Excel, PowerPoint, SharePoint and Internet research required.
ESSENTIAL JOB FUNCTIONS AND RESPONSIBILITIES:
* Identify, create, and implement best practices, procedures, processes, templates, workflows, etc. to increase Legal Department efficiencies, productivity, and effectiveness.
* Provide support with SEC and state filing requirements, including preparing and filing organization documents and managing compliance with state annual reporting requirements.
* Manage the Legal Processing team responsible for all legal document functions, subpoenas, garnishments, and levies.
* Review complex legal documents, assist in drafting, analyzing the content, revising the terms, and explain these in clear and concise responses.
* Provide routine legal support including legal research, document drafting, and subpoena response.
* Work with government agencies both state and federal, attorneys and various levels of courts when working with garnishments, levies, and subpoenas.
* Monitor for outlined risk items and continually review for additional risk monitoring as it relates to garnishments, levies, and subpoenas, including and monitoring activity of associated third parties.
* Assist with legal discovery request responses, legal holds and related matters
* Identify, implement, and manage Legal Department metrics and dashboards, benchmarking, and reporting, and provide financial and data analysis.
* Assist team learning related to new or enhanced technology as necessary.
* Assist with onboarding and training of new Legal Department associates.
* Manage outside counsel relationships, specifically onboarding and invoice processing.
* Assist inside/outside counsel with management of trademark portfolio.
* Assist with annual corporate disclosures including management of D&O Questionnaires and related Regulation O matters.
* Create, manage, and act as systems owner for Legal systems on Legal SharePoint sites including project requests and document, forms, and knowledge management, including presentations, training materials, preventative law communications, etc.
* Collaborate with other departments to improve processes and create and implement automation of various tasks where appropriate.
* Keep current on Legal Operations industry trends and developments through participation in industry groups; leverage industry best practices; and analyze and advise on upgrades and improvements to business processes and tools.
* Assist management with administration of the Bank's insurance programs and claims.
* Prepare and file organization documents and manage compliance with state annual reporting requirements.
* Assist counsel with general legal matters such as contracts, litigation support, employment, regulatory matters, etc.
* Manage corporate policy manual approvals and version control.
* Coordinate logistics and assist with production and distribution of certain Board and Committee meeting documentation and minutes.
* Responsible for other projects, plans, and initiatives as determined by management.
* Know compliance responsibilities and particular requirements affecting your area of responsibility, incorporate these requirements into your business processes and procedures, perform ongoing monitoring and periodic self-assessments including reporting and corrective action as needed, and assure appropriate training to associates regarding these responsibilities and procedures.

This position carries out supervisory responsibilities in accordance with the Bank's guidelines, policies and procedures and all applicable state and federal laws. Responsibilities include interviewing, hiring and the overall development of associates; coaching and mentoring while providing challenging opportunities to enhance career growth; planning, assigning and directing work; setting expectations and appraising performance; recognizing and rewarding associates or recommending disciplinary action as appropriate; addressing complaints and resolving problems; and helping to build a positive team culture.
OTHER REQUIREMENTS:
* Infrequent travel to outside training or meetings (in and outside of Louisville).
* Flexible work schedule that may include some evenings and weekends.
* Stay abreast of new developments, best practices, and statutory and regulatory changes.
