About the Role: The Transactions Counsel is responsible for providing well-reasoned, professional legal advice to Wabash and its subsidiaries on a wide range of business-related matters with the intent of achieving corporate strategy, promoting growth and the creation of customer value, ensuring compliance with laws, regulations and policies affecting Wabash, and minimizing associated business and legal risks/liabilities. This role may focus in the area(s) of purchasing, sale, and other transaction. Your Responsibilities:
- Commercial Transactions:
- Negotiate, prepare, and work with (as necessary) outside counsel on merger, acquisition or divesture type agreements including, but not limited to purchase or sales agreements, joint venture agreements, letters of intent, real estate sales/purchases and all related documentation
- Work closely with corporate and business unit leadership to provide proactive legal services to Wabash
- Manages and supervises legal review of significant commercial transactions with Wabash business teams, to include necessary drafting, negotiation, and execution of agreements
- Works with business teams to draft and implement standard contracting operating procedures, review processes, delegations of authority and terms and conditions for use by Wabash
- Counsel business teams in conjunction with, and participates in the drafting and negotiation of, commercial agreements regarding sales, distribution, purchasing, supply chain and employment issues
- Conducts training for the business teams to educate employees regarding laws and regulations affecting the business, risk identification and mitigation in and conflict resolution in the commercial setting
- Anticipates and mitigates potential legal problems within the organization and develops strategies to avoid costly litigation and reduce potential areas of risk
- Experience with technology development, dealer/distributor programs, compliance programs, publicly traded companies, or joint ventures is a plus.
- Works closely with colleagues to develop best practices, policies, and procedures
- Intellectual Property
- Negotiate and prepare license and technology agreements
Let's Talk About Your Qualifications:
- Juris Doctor Degree from an A.B.A. Accredited Law School
- Must be licensed to practice law before the highest court of any state with eligibility for admission to the Indiana bar within six months of employment
- Must possess at least 5 years of experience practicing law as an attorney at a high-quality law firm and in an in-house counsel environment. Public company in-house experience is a plus, but not a requirement
- Must have experience counseling clients/colleagues on complex commercial transactions, including mergers & acquisitions, in business and/or regulatory risk mitigation strategies, and a wide variety of legal issues
- Individual must possess the highest levels of integrity
Must have experience counseling clients/colleagues with a wide variety of legal issues - Experience counseling clients in the transportation or heavy-manufacturing industries and/or public company clients is preferred, but not mandatory if relevant experience in a different industry has occurred
- Individual must be able to work independently, flexibly and with an appropriate level of urgency
- Must be able to manage multiple projects simultaneously; demonstrate ability to take initiative in crafting creative solutions to business problems; and demonstrate willingness and aptitude to develop new skills and subject matter expertise
- Must work effectively as a team member; ability to work as a strategic and responsive business partner with colleagues is critical. Flexibility, resilience, and the willingness to solicit the input of others are critical
- Extensive legal knowledge
- Must possess sound judgment, excellent communication skills and the ability to partner with leaders
- Must enjoy working in a team environment and have a collaborative work style
- Must be a self-starter who will take the initiative to get things done, improve current practices and make suggestions
