Overview
As an integral member of the Law Department, the Corporate Counsel assists in the management of litigation affecting the Credit Union or its subsidiaries and is responsible for the review, negotiation, approval, and termination of vendor contracts. Ensures the production of accurate and well documented research, analysis, advice, and recommendations for the legal and regulatory issue inquiries made by the Chief Legal Officer, VP of Legal Affairs, and other members of staff and management.
Responsibilities
Reviews, negotiates, and approves (if appropriate) all contracts entered into by LFCU or its subsidiaries.
- Advises on and participates in the vendor vetting, due diligence, and contract execution processes.
- Assists with the definition, communication, and enforcement of LFCU contract standards.
- Effectively uses the contract/vendor management system and the legal matter and billing management system to facilitate work processes.
- Assists the Chief Legal Officer and VP, Legal Affairs in the management and monitoring of litigation pending or in progress and provides pertinent research and legal advice as requested.
- Works with selected outside counsel to assist in their provision of legal advice, guidance, and analysis to management for issues relating to prior, current, and future conduct, transactions, contracts, business plans, and documentation to ensure the protection of the business interests of the Credit Union and the protection of the legal rights of the Credit Union, its directors and key officers.
- Prepares required legal documents, filings, and notices to ensure compliance with regulatory agencies at the national, state, and local levels as well as industry practice.
- Works with the Chief Legal Officer, VP of Legal Affairs, and Compliance team to conduct research and analysis of legal and/or regulatory compliance inquiries and issues generated by management or staff.
- Makes appearances on behalf of the Credit Union or any of its subsidiaries or agents at legal proceedings, hearings, depositions, mediations, arbitrations, or settlement conferences.
- Acts as a liaison or contact agent to respond to member disputes when the Credit Union is threatened with legal action.
- Works with various departments, management and staff to address issues regarding powers of attorney, contracts, membership, collections, and loan agreements.
- Provides legal advice and guidance to various business units, including Business Services and Commercial Real Estate Lending regarding CRE loans, loan agreements, default and collections, and loan participations.
- Prepares, updates, and presents periodic training to staff and management on legal terms and provisions in agreements, contract negotiation, and vendor management processes and requirements.
- Manages multiple high-priority assignments simultaneously and performs in a fast-paced, dynamic environment to ensure that schedule, scope of work, quality, deadlines, and other organizational needs are met.
- Produces reports for management on the volume, status, and description of activities (e.g., contract review, vendor management, litigation management, matter activity, billing, etc.)
Qualifications
Education
- Min/Preferred: Minimum
- Education Level: Graduate Degree
- Description: A Juris Doctorate from an accredited law school, admission to practice law in the State of California, and a member in good standing with the State Bar of California is required.
Experience
- Minimum Years of Experience: 2
- Preferred Years of Experience: 4
- Comments: Experience working in an in-house counsel role, preferably at a financial institution, or in a law firm setting specializing in financial institution laws and regulations
Knowledge, Skills & Ability
- Thorough understanding of the laws and regulations affecting the Credit Union and its subsidiaries.
- Excellent communication, negotiation and writing skills as well as the ability to effectively work with all levels of employees and management.
- Ability to manage multiple projects in a fast-paced environment with quick response time.
- Ability to make presentations to both small and large groups.
- A track record of effective management skills and mentoring.
- Professional demeanor and ability to work independently and as part of a team.
- Must be proficient with Word, Excel, PowerPoint, Outlook and Internet applications. Experience with Thomson Reuters Practical Law Connect, Westlaw, and Legal Tracker preferred. Experience with Venminder suite of vendor management tools and Multiview Financial Software preferred.
- Ability to handle sensitive legal matters with the highest degree of integrity and confidentiality.
- Strong technology skills, able to function as the subject matter expert for various systems without requiring the frequent support or intervention of technology professionals.
- Ability to quickly learn new applications, systems, processes, and information.
- Ability to research, interpret, synthesize, and explain laws, rules, regulations, policies, and procedures to different audiences and make clear verbal and written presentations of facts or concepts.
- Ability to exercise independent judgment while working under limited supervision.

Pay Range
USD $98,577.25 - USD $152,794.75 /Yr.
