Job Description: Position Summary: This role is contingent upon obtaining all necessary regulatory approvals and the successful closing of a transaction which will result in establishing a new Airbus Affiliate in Kinston, NC (the "Kinston Affiliate"). The role is a legal generalist role for an experienced attorney (10 years+), and will include supporting Airbus' 5 Pillars of Safety, Quality, Integrity, Compliance and Security by:
Providing legal support to business functions across North America, including contracts, customer services, procurement and engineering Leading on-site Compliance, risk management and regulatory efforts Supporting corporate governance, including acting as Assistant Secretary to Boards and managing the day-to-day governance of Airbus Americas Affiliates Supporting M&A with the integration of any future subsidiaries
Primary Responsibilities: Contract Negotiation and Development: 30%
Compliance, Risk Mitigation and Regulatory: 30%
Support the North American E&C team as responsible for on-site Compliance Program implementation and execution, including driving Speak-Up, adherence to internal controls, commitment to anti-corruption and export control processes and performance of Compliance-related fact-finding investigations Provide guidance and support in coordination with the global Legal & Compliance team on US regulatory matters, as well as with dispute management (litigation/arbitration), when applicable Support enterprise risk reporting, audits and crisis management
Corporate: 30%
Support certain M&A, investment and post merger integration projects Support industrial footprint growth and legal entity optimization projects Advise on corporate governance matters Support board of directors and shareholder meetings Help maintain corporate records and business registrations
Additional Duties as Required: 10%
Provide 'One-Roof' Legal Support across North America Provide high quality legal advice to business functions, including procurement, contracts, customer services, engineering and manufacturing Support shared services functions including finance, tax, procurement, HR, government relations, safety, quality, information management, R&T, strategy and communications
Qualified Experience / Skills / Training: Education: Required:
Juris Doctorate from an accredited law school Minimum of 10+ years' experience and admitted to the Bar (preferably Kansas) and in good standing with a license to practice law in at least one U.S. State.
