Position Purpose: The Head, Ethics, Compliance & Legal, APAC is based at Avanos' office in Singapore (or as otherwise designated) and is part of the Ethics & Compliance Department, reporting directly to the Chief Ethics & Compliance Officer and indirectly to the General Counsel. This position is mainly responsible for implementation and maintenance of the Corporate Compliance Program in APAC. This position is also responsible for managing the legal needs for the APAC region, including but not limited to drafting agreements, maintaining legal entities, managing legal matters related to HR, and providing legal advice to internal customers. This role supports various Avanos teams and departments with guidance and recommendations to accomplish business objectives and strategic initiatives, and ensure compliance with applicable laws, regulations, and Avanos policies. Principal Responsibilities:
- Oversight: Leads the implementation of the Global Compliance Program in APAC and provides principal Legal support in the Region under the direction of the Chief Ethics & Compliance Officer and the General Counsel respectively.
- Ethics & Compliance Responsibilities:
- Regional Leadership: Supporting International Compliance Oversight Committee and other Ethics & Compliance meetings, activities; enhancing and implementing processes as needed; and supporting efforts to advance Avanos Ethics & Compliance Culture. Implement and maintain the Corporate Ethics & Compliance Program in APAC, including compliance requirements specific to the region.
- Advice and Guidance: Provides day-to-day advice and guidance to relevant business teams on Ethics & Compliance matters. Participate in regional leadership team meetings.
- Risk Assessment Activities:Supports the annual Risk Assessment and reviews activity-specific plans by the business teams.Provides training and guidance on the Risk Assessment process, including development of tools as required.
- Written Standards: Provides support on the drafting, implementation and communication of Compliance-related policies and procedures.
- Program Management: Implements actions as specified in the annual work plan and KPIs.
- Regional Privacy: Manage compliance with privacy laws, including acting as a Data Privacy Officer.
- Training and Communications: Supports the implementation of the annual training and education plans.Develops communications on key Ethics & Compliance risks and initiatives, as requested. Supplements with additional training as requested, according to the needs of the business.
- Monitoring and Auditing: Supports the Audit, Monitoring and Investigations teams in activities as required. Implements monitoring processes in applicable businesses, including ride-a-longs with field personnel.
- Third Party Management: Supports Third Party Seller and Non-seller Third Party (NSTP) compliance management and initiatives, including processes for Third Party Risk Assessments and site visits.
- Investigations: Conducts and/or assists in investigations to the extent requested, including conducting reviews of documentation, conducting interviews and drafting reports. Ensures consistent and appropriate investigative processes are utilized.
- Corrective Actions: Implements and tracks appropriate and consistent corrective actions for identified compliance issues and assessment activities. Conducts assessments to determine effectiveness of corrective actions.
- Legal Responsibilities:
- Contract Management: Draft and negotiate country-specific and cross-border commercial agreements such as sales, distribution, service, and purchasing agreements.
- Corporate Secretariat: Manage corporate matters relating to legal entities.
- Litigation Management: Provide counsel on dispute resolution, including litigation.
- General Legal Advice:
- Participate in review of marketing and other product claims materials for legal compliance.
- Provide legal advice to the Human Resources Department on employee-related matters.
- Advocate to government agencies and respond to their inquiries and subpoenas.
- Hire and manage outside legal counsel, as appropriate and as directed or approved by the General Counsel.
- Provide such other legal services as may be required for a publicly-traded, global medical device company.
- Global Legal Initiatives: Lead significant Legal Department and cross-functional initiatives.
Qualifications (Education/Experience/Competencies): The position requires: Education:
- Bachelor's degree or its non-U.S. equivalent - required.
- J.D. degree (or equivalent law degree in the applicable jurisdiction, which would allow the practice of law throughout the regions) - required.
- Advanced degree (MBA or another relevant credential) - preferred.
- Specific training in healthcare compliance, privacy and other related topics - preferred.
Professional Experience:
- 7-12 years of experience at a medical device, pharmaceutical, or other healthcare organization implementing a compliance program or other complementary job experience (such as roles within Internal Audit, Finance or Legal functions).
- Expertise in Marketing or other fields will be considered upon demonstration of skill sets needed to perform the job duties.
- Experience in Healthcare industry - Device, Pharma, or Biotech is preferable.
- English language fluency required. Fluency in other languages such as Mandarin, Japanese, or other Asian languages preferred.
- Valued Advisor to business leaders with experience finding solutions to complex ethical and legal issues in APAC.
- Excellent research, writing, and communication skills, and excellent ability to analyze complex matters and present them simply and clearly.
- Excellent organizational and time management skills with the ability to prioritize and manage a heavy and multi-directional workload.
