Position Summary

The Contracts Counsel will manage a wide range of vendor and corporate contracts to support ImmunityBio's fast paced and growing business operations. This role will work closely with the ImmunityBio contracts team to complete the contract life cycle from draft to execution and partner with business stakeholders to provide legal support on clinical and commercial matters.

Essential Functions

  • Manage contracts from intake through execution by drafting, reviewing, and negotiating vendor agreements, master service agreements (MSAs), statements of work (SOWs), non-disclosure agreements (NDAs), vendor terms and conditions, amendments, and related documents.
  • Serve as the primary legal support for procurement, business operations, and finance.
  • Collaborate with internal stakeholders to develop, update, and maintain standard agreement templates and negotiation "playbooks" to improve efficiency and consistency.
  • Identify and escalate higher-risk or non-standard issues appropriately.
  • Stay current with pertinent changes in legislation and regulatory environments, and provide practical, business-oriented legal advice.
  • Support general commercial contracting needs across the organization.
  • Create, edit and adhere to Standard Operating Procedures (SOPs), process improvements, and standardization of templates.
  • Perform ad-hoc and cross-functional projects assigned to support business needs.

Education & Experience

  • Juris Doctor degree from an accredited saw school is required.
  • Active member of a State Bar Association in at least one U.S. jurisdiction (preferably California) required.
  • 5+ years of in-house legal experience is required; Experience within the legal department of a Life Sciences or Pharmaceutical company is preferred.
  • Substantial experience negotiating commercial agreements required
  • Experience scaling contracting processes is preferred.
  • Experience working with procurement functions is preferred.

Working Environment / Physical Environment

  • This position works hybrid (combination of on-site and remote) or remotely depending on the individual's geographic location.
  • Regular work schedule is Monday - Friday, within standard business hours. Flexibility is available with manager approval.
  • Must possess mobility to work in a standard office setting and to use standard office equipment, including a computer.
  • Lift and carry materials weighing up to 30 pounds.

The specific rate will depend on the successful candidate's qualifications, prior experience as well as geographic location.

National Market (all markets unless identified as Premium)

$70.00 (entry-level qualifications) to $84.00 (highly experienced) per hour

Premium Market (Premium markets include Los Angeles, San Diego, San Francisco, New York City, Chicago, & Boston)

$80.00 (entry-level qualifications) to $96.00 (highly experienced) per hour

This is the pay range the Company reasonably expects to pay for this position at thetime of this posting. Compensation will be determined based on the skills,qualifications, and experience of the applicant along with the requirements of theposition.
