Requirements

Bachelor's degree and a Juris Doctorate from an accredited law school required.


Current admission to the relevant state bar and in good standing required.


Minimum of 10 years in advising financial institutions required.


Familiar and experienced with banking/financial services and operations with a working knowledge of applicable banking and consumer compliance regulations required.

Job Description

SUMMARY:


This role advises senior management and business units on complex legal and regulatory matters affect banking operations, including compliance with laws from the FDIC, Federal Reserve and state banking departments. Key responsibilities include researching and analyzing regulatory changes, preparing and filing regulatory reports, advising on new products and services, and assisting with corporate governance and third-party contracts. This role requires strong critical thinking, excellent legal judgment, project management, and the ability to collaborate with various departments like Risk, Compliance, and Finance.



ESSENTIAL DUTIES AND RESPONSIBILITIES:

Provides expert legal counsel to senior management and business units on existing laws, rules, and regulations, including those from the FDIC, Federal Reserve, and state banking agencies.


Researches, monitors, and analyzes new and existing laws, rules, and regulations to assess their impact on the bank and advise on potential legal and regulatory implications.


Manages the preparation and filing of reports and applications with various banking regulators.


Advises on and assist with corporate governance matters, including the preparation of board and committee minutes and resolutions.


Reviews and negotiates contracts, including those related to strategic transactions and third-party relationships.


Partners with other internal departments, including Risk, Compliance, Finance, and Audit, on regulatory matters.


Supervises and directs outside law firms on specific projects.


Advises on the legal and regulatory implications of new products, services, and business initiatives.



OTHER REQUIREMENTS:


Banking is a highly regulated industry and you will be expected to acquire and maintain a proficiency in the Bank's policies and procedures, and adhere to all laws, rules and regulations that are applicable to your conduct and the work you will be performing. You will also be expected to complete all assigned compliance training in a timely manner.


In depth knowledge of US banking and financial services laws and regulations.


Strong written and verbal communication skills for clear and concise advice and document creation.


Strong research skills to interpret complex legal and regulatory topics.


Excellent organization, prioritization, and multitasking skills, practical and effective problem-solving skills, strong analytical, negotiation, and communication skills.


Able to effectively communicate with senior management, business partners and regulators.


Proven ability to collaborate with cross functional teams within a financial institution.


Strong critical thinking skills and the ability to advice on complex fact and legal topics.
