Overview

The Derivatives Documentation Specialist ensures that all commercial loan transactions associated with interest rate derivatives include certain provisions that properly secure the Bank's exposure under the applicable agreements. The Derivatives Documentation Specialist serves as a liaison between outside closing counsel, commercial loan officers, and the Bank's Capital Markets Group to ensure that credit related items properly align among the various loan documents prepared by third-party attorneys but also with Bank policy and regulatory standards.

Responsibilities

    Review all commercial loan documents prepared by outside closing counsel for loans associated with an interest rate derivative under the Bank's standard ISDA Master Agreement and Schedule and coordinate with such attorneys to ensure loan documents reflect the Bank's required terms
  • Collaborate with outside closing attorneys to negotiate and finalize acceptable derivative-related provisions in a timely manner while maintaining strong professional relationships
  • Coordinate closely with the Bank's Capital Markets Group to ensure consistency between the economic terms of the derivative confirmation and the loan documents
  • Maintain an up-to-date library of approved derivative cross-collateralization language, clauses and fallback language for use by outside counsel
  • Track and report on recurring documentation issues with specific law firms and recommend preferred counsel or training initiatives as needed
  • Ensure all documentation complies with internal policies, ISDA standards, and applicable regulatory requirements
  • Assist in periodic audits of closed derivative-related loans to confirm ongoing compliance with internal policies and regulatory requirements (OCC, FDIC, Dodd-Frank rules, etc.)
  • Support training of new loan officers and credit staff on interest rate derivative documentation requirements
  • Serve as the primary internal contact for questions related to loan-derivative documentation integration
  • Perform other related duties as assigned


Qualifications

  • Juris Doctorate degree from an accredited school of law required; Bachelor's degree in Finance, Business, Law, or related field preferred
  • Minimum of 5 years of experience reviewing and negotiating commercial loan documentation with specific exposure to interest rate derivative and ISDA documentation
  • Prior experience working in a bank's capital markets, middle-office, or loan documentation group, preferred
  • Strong knowledge with nCino, LaserPro, or other commercial loan origination systems, preferred
  • Working knowledge of the ISDA Master Agreement (2002 and 2021 versions), Schedule, Credit Support Annex, and standard derivative confirmations
  • Strong knowledge of cross-collateralization and cross-default provisions between loans and derivative instruments
  • Strong knowledge of commercial lending practices, including collateral documentation and regulatory standards
  • Ability to read, interpret, and redline complex loan and security agreements prepared by third-party counsel
  • Excellent communication and negotiation skills for working with internal stakeholders and outside counsel
  • Detail-oriented with exceptional organizational and time-management skills
  • Ability to manage multiple closing deadlines simultaneously
  • Knowledge of Dodd-Frank regulations
  • Strong understanding of credit risk mitigation and secured transactions (UCC Article 9)
  • Ability to travel on occasion, including overnight travel
