WHAT YOU WILL DO
As the Contract Manager at Thompson Machinery, reporting to the Director of Risk Management, you will develop and continuously improve a consistent process for drafting, reviewing, approving, executing, storing, and renewing contracts across the organization. Managing both vendor and customer agreements through the full contract lifecycle. Support Risk Management Function with Certificate of Insurance (COI) review as part of contractual risk management and vendor controls. Maintain an accurate entity structure and corporate record documentation process. This role requires strong
attention to detail, sound business judgment, and the ability to partner effectively with leaders and cross-functional teams (Sales, Operations, Finance, Legal, and other stakeholders) to ensure contracts are clear, compliant, and aligned with business goals.
ESSENTIAL DUTIES & RESPONSIBILTIES


  • Design, document, and implement a contract management process (CLM workflow), including intake, drafting/redlining, approval routing, execution, storage, renewal tracking, and closeout.
  • Manage vendor and customer contracts through the full lifecycle (approximately 70% vendor / 30% customer), ensuring key terms (scope, pricing, payment, warranties, indemnity, limitations of liability, termination, and dispute resolution) are reviewed, negotiated as needed, and captured accurately.
  • Primary emphasis is on vendor contracting, including supplier/subcontractor terms, flow-down requirements, risk allocation, and compliance with internal vendor onboarding and insurance standards.
  • Assist with insurance-related contract requirements, including review of insurance provisions and COIs for vendors, subcontractors, and partners while coordinating questions and exceptions with internal stakeholders and the insurance broker as applicable.
  • Track and maintain all entity structure and corporate record documents (e.g., entity charts, formation/registration documents, governance records, amendments, and key corporate filings) in an organized, auditable repository.
  • Develop templates, clause library guidance, and training materials to support internal stakeholders; provide day-to-day support on contract intake and process adherence.
  • Maintain contract and entity-document trackers (status, key dates, renewals, obligations, and exceptions) and produce periodic reporting to support planning, compliance, and risk management.

BASIC QUALIFICATIONS


EDUCATION & EXPERIENCE


  • 5+ years of experience in contract administration/contract management, legal operations, procurement, or a related role (experience supporting construction, service, or equipment-related contracts is a plus).
  • Demonstrated ability to build and improve a repeatable contract lifecycle process, including intake forms, approval matrices, templates, and recordkeeping.
  • Strong contract review and redlining skills; comfort working from customer/vendor paper and explaining risks and options to non-legal stakeholders.
  • Working knowledge of insurance/COI requirements and common contractual insurance language; experience coordinating with brokers or risk/finance partners.
  • Experience maintaining corporate records and entity documentation, with strong organizational skills and high attention to confidentiality and data accuracy.
  • Proficiency with Microsoft 365 (Word, Excel, Outlook, SharePoint) and comfort learning contract repository/CLM or workflow tools.
