Under the direction of one or more attorneys, prepares basic legal documents, conducts basic legal research and performs related administrative duties. Assists attorneys with entity and subsidiary management, corporate governance matters, regulatory filings/matters, and special projects. Maintains corporate minute books and databases, organizes and manages filings and drafts basic organizational documents, minutes and written consents.

Job Responsibilities
  • Draft legal documents such as shareholder/member and director/manager resolutions and written consents and basic organizational documents.
  • Perform basic legal research including review of corporate organizational documents.
  • Entity management and statutory filings for all subsidiaries in all jurisdictions, including annual reports and other required filings; withdraw or dissolve entities as necessary.
  • Maintain and update minute books and databases. Maintain vital file room for storage of minute books and other corporate and transaction documents. Manage corporate record retention policy and related activities.
  • Assist with other special projects as needed, including responses to due diligence and information requests, coordination of shareholder meetings with external vendors, and preparation and coordination of execution of financing and other transaction documents.
  • Provide general paralegal support, including notary duties.
  • Assist attorneys with regulatory and other filings.
Education Requirements
  • Associate Degree
  • Obtain/Maintain notary designation.
  • Obtain/Maintain paralegal certification.
  • Bachelors Degree preferred.
  • Specify Major (if applicable): Paralegal studies preferrable
Minimum Experience, Skills and Ability Requirements:
  • Minimum Years of Experience: 3
  • Typically 4-6 years of experience in a paralegal, corporate governance, or related legal support role.
  • Proficient computer and office equipment experience.
  • Proficient experience in corporate governance and entity management.
  • Proficient experience in drafting legal documents and document production.
  • Ability to identify and prioritize issues and problem solve.
  • Ability to manage mulitiple priorities under short deadlines.
  • Excellent organizational and communication skills (oral and written) and strong attention to detail.
  • Prior experience as a paralegal in a law firm or in-house corporate law department a plus.
